Bylaws
Article I - Fees
- Section 1. The annual LAPC membership fee is $12.00 for an individual
and $6.00 for fulltime students. Members of the LAPC must also be members
of The
Art Center at Fuller Lodge, Los Alamos, New Mexico.
- Section 2. New members will pay a prorated amount for the first year.
- Section 3. Dues are to be paid in January.
- Section 4. The fee for non-members will be waived for their first two meetings. Attendance at subsequent meetings will require payment of the membership fees.
- Section 5. A member ceases to be in good standing when dues are not paid by the February meeting. The member may be reinstated on payment of dues.
Article II - Executive Officers
- Section 1. Executive Officers are nominated and elected according to the procedures of these Bylaws, Article IV.
- Section 2. Executive Officers of the LAPC must be members in good standing.
- Section 3. An individual shall not serve as President for more than two consecutive terms. All other officers may serve as long as the LAPC and the involved individual so desire.
- Section 4. In the event that an office is not filled during a general LAPC election, or if a duly elected officer cannot complete the term of office or is in substantial neglect of the duties of that office, as determined by a 2/3 vote of the Executive Committee, the Executive Committee will temporarily assign necessary tasks to other Officers or LAPC members.
- Section 5. Vacancies on the Executive Committee shall be filled as soon as is feasible after notification of such vacancy. If the office of President is vacated, the Vice President will assume the position of President until the following general election. Other vacant positions will be filled by a majority vote of the then-current members of the Executive Committee and the person so appointed will serve until the following general election.
- Section 6. Executive Officers receive no remuneration.
Article III - Duties of the Executive Officers
- Section 1. The President shall:
- be the Chief Executive Officer of the LAPC.
- preside at meetings of the LAPC and of the Executive Committee.
- carry out the operation and active management of the LAPC.
- see that all orders and resolutions of the Executive Committee are carried out.
- not vote, except to break ties.
- be a signing officer on behalf of the LAPC.
- Section 2. The Vice President shall:
- in the absence or disability of the President, perform the duties and exercise the powers of the President.
- coordinate program presentations for the general meetings of LAPC.
- perform such other duties as might from time to time be requested by the President or by action of the Executive Committee.
- be a signing officer on behalf of the LAPC, as needed.
- Section 3. The Secretary shall:
- record the minutes reporting attendance, substantive discussions and actions at all meetings of the LAPC and the Executive Committee, and make them available as needed.
- maintain LAPC's current and archival records, including minutes, reports, correspondence, newsletters, membership of the Executive Committee, the Constitution and Bylaws, and members lists.
- promote the LAPC through publications, displays, and other means as determined by the Executive Committee.
- perform such other duties as might from time to time be requested by the President or by action of the Executive Committee.
- be a signing officer on behalf of the LAPC, as needed.
- Section 4. The Treasurer shall:
- maintain a bank account for LAPC and keep contact information and signature authority up to date for at least two signatory officers (see Article VII, Section 3.
- deposit receipts and disburse monies, as necessary for the functioning of LAPC, and in accord with Article VII of these Bylaws.
- maintain records of current accounts and transactions, and prepare financial reports as needed.
- perform such other duties as might from time to time be requested by the President or by action of the Executive Committee.
- be a signing officer on behalf of the LAPC.
- Section 5. The following tasks will be assigned to LAPC members or officers by action of the Executive Committee:
- Coordinator of the annual Los Alamos Photographers' Show, to begin functioning approximately six months before the planned date of the event.
- Chairman and two members of the Nominating Committee, to begin functioning approximately one month before the general election of LAPC officers.
Article IV - Nominating Committee, Elections and Terms of Executive Officers
- Section 1. The Nominating Committee shall consist of the Chair and at least one additional member. During the April LAPC meeting, the Chair and the member(s) of the Nominating Committee will be announced.
- Section 2. A general election will be held at the May meeting of each year.
- Section 3. During the May meeting:
- The Chairman of the Nominating Committee or his designee shall present nominations for the Executive Officers for the following year.
- Nominations from the floor may also be presented at this time.
- Members shall vote on these nominees to elect the Executive Officers by either open or closed ballot.
- Section 4. The normal term of office is 1 year, from the time elected through completion of the next general election. Officers elected in January, 2004 will serve until replaced in the election of May, 2005.
Article V - Meetings and Parliamentary Procedure
- Section 1. A general meeting of the LAPC is a meeting for which an invitation to attend and notice of the time and place has been provided to all members not less than three weeks in advance.
- Section 2. The President or Vice President will preside at general LAPC meetings. If neither will be present at a given meeting, the President shall appoint another Executive Officer or an LAPC Member to conduct the meeting.
- Section 3. A quorum for deciding a voting issue at a general meeting of the LAPC membership will be six (6) members in good standing.
- Section 4. An Executive Committee Meeting of the LAPC is a meeting for which notice of the time and place has been provided to all Executive Officers in advance.
- Section 5. The President or Vice President will preside at meetings of the Executive Committee.
- Section 6. A quorum for deciding a voting issue at a meeting of the Executive Committee will be three Officers.
- Section 7. Unless specified otherwise in the LAPC Constitution or Bylaws, motions proposed will pass if the quorum is met and a majority of members attending vote in favor.
Article VI - Schedule of Meetings
- Section 1. General meetings of the LAPC shall be held on the third (3rd) Monday of the month at 7:00 PM. The location of the meeting will be announced by an Executive Officer at least one week prior to the meeting.
- Section 2. The President will call Executive Committee meetings as necessary.
Article VII - Financial Management
- Section 1. The LAPC shall receive its funds from dues, contributions, LAPC collections, sponsorships, grants, sale of unneeded assets, and fund raising projects.
- Section 2. The LAPC bank account shall have not fewer than two authorized signatories, including the Treasurer and one or more of the following officers: President, Vice President, Secretary.
- Section 3. Any authorized signatory (normally, the Treasurer) may disburse sums up to one hundred dollars ($100) for reasonable LAPC expenses and reimbursements. Payments exceeding one hundred dollars ($100.00) must be authorized by action of the Executive Committee and, upon approval, may be disbursed by any authorized signatory (normally the Treasurer).
Article VIII - Amendments to these Bylaws
Amendments to these Bylaws may be proposed at any general LAPC meeting by any member in good standing. A formal amendment will be presented to the membership at least three (3) weeks, but not longer than nine (9) weeks, prior to a vote being taken. The amendment will pass if the quorum is met and at least 2/3 of the members attending a general meeting give their approval.
Article IX - Approval
- Section 1. This Constitution and these bylaws were duly approved by a unanimous vote of those members attending a general meeting of the LAPC on the 17th day of May, 2004.
